ORDERS: Orders are accepted on the condition that they shall be void should injury befall stock from any Act of God or any cause beyond our control. All orders are accepted
subject to crop conditions or errors in count and without liability for nonperformance due to strikes or labor shortages.
GRADING: Grade standards are those adopted by the American Association of Nurserymen.
It is our great fortune to be located in the beautiful rolling land of Warren County, Tennessee. As well as being beautiful, it is one of the world's largest centers for nursery grown stock. Our
nursery is located only 2 miles from McMinnville and only 8/10 of a mile off of U.S. 70 By-Pass on the Underwood Road. We urge you to come to visit us and let us show you our operation.
PRICES: Prices are based on current market conditions and subject to change without notice. All prices are for the established nurserymen only and cancel all previous prices offered by us. All prices are F.O.B. McMinnville, Tenn.
TERMS: Net and due 30 days from date of invoice for firms with established credit. Any allowances are applicable only when the terms of the sale are met. Cash or satisfactory
references are required prior to shipment from those customers unknown to us. On C.O.D. orders 25% cash in advance is required prior to shipment. Interest will be charged at the rate
of 1.5% per month, which is an annual percentage rate of 18%, on all past due accounts unless other arrangements are made at the time of shipment.
GUARANTEE: We give no warranty, expressed or implied, as to life, description, quality, productiveness or any other matter of any nursery stock that we sell. It is mutually agreed
that our total liability for any error, should stock prove untrue to name as labeled, shall be limited upon satisfactory proof to our replacing free or refunding the purchase price.
CONDITIONS OF SALE: The parties hereto agree that any dispute arising out of the sale of these goods shall be arbitrated exclusively in the Chancery Court for Warren County,
Tennessee and the State of Tennessee shall be the forum for any and all litigation that may arise from any sale of goods by the seller. Either party not prevailing in such action shall be
liable to the prevailing party for reasonable attorney fees.
CLAIMS: Claims for any cause must be made within 10 days upon receipt of shipment. Any stock rejected must be reported within 10 days and held for advise from us as to
disposition, but in no case should it be returned to us without prior authority. We will gladly entertain such reports and make satisfactory adjustments when claims are definitely established. We shall in no case be liable for any sum greater than the amount originally received for said nursery stock and will not entertain claims after stock has been once accepted.
PACKING: Boxing and baling charges are at cost. No charge is made when stock is packed in bulk.
CANCELLATIONS: Any cancellations must be made in writing and received by us prior to the December 15th preceding the originally requested shipping date. Cancellations after
December 15th are subject to a 10% restocking charge.
SHIPPING: We will ship via refrigerated pool truck whenever possible. All shipments travel at the risk and expense of the purchaser. Our responsibility ceases on delivery to the carrier. Invoicing of freight charges is separate from plant material invoicing. Federal I.C.C. regulations dictate payment of freight charges within seven (7) days of invoicing. Our truck
brokers provide a prepaid freight service on the assumption that I.C.C. regulations will be observed. Customer is responsible for unloading truck. Picture tags for bare root plants are
available at 25¢ each.
